This Seller Agreement (“Agreement”) is a legally binding contract between StateCrafted LLC, a Colorado limited liability company (“StateCrafted”), and the individual or business entity registering as a seller on the Platform (“Seller” or “Maker”). By completing the seller application or activating a seller account, the Seller agrees to all terms of this Agreement.

This Agreement operates alongside the StateCrafted Terms of Service and Privacy Policy, which are incorporated by reference. In the event of any conflict between this Agreement and the Terms of Service, this Agreement governs with respect to seller-specific matters.

Important: This document is a well-researched first draft. StateCrafted recommends that a licensed Colorado attorney review this Agreement before it is published or signed by sellers.

“Platform” means the StateCrafted website (statecrafted.co), mobile applications, and all related services.

“Seller” or “Maker” means the individual or business entity that has applied to and been approved to list and sell products on the Platform.

“Buyer” means any individual who purchases a product through the Platform.

“Verification” means StateCrafted’s process of reviewing documentation to confirm a Seller’s Colorado eligibility under one or more tiers.

“Badge” means a Colorado-Owned (Bronze), Colorado-Made (Silver), or Colorado-Sourced (Gold) designation displayed on a Seller’s storefront and product listings.

“Storefront” means the Seller’s dedicated page on the Platform displaying their products, profile, and verification status.

“Founding Maker” means one of the first 100 Sellers approved on the Platform, eligible for a free first month and lifetime locked pricing as described in Section 4.

“Subscription Fee” means the recurring monthly or annual fee paid by the Seller for access to the Platform.

“Seller Content” means all text, images, photos, product descriptions, pricing, and other material submitted by the Seller to the Platform.

To qualify as a Seller on the Platform, you must meet all of the following requirements at the time of application and on an ongoing basis:

  • Be at least 18 years of age
  • Be a Colorado resident, or own and operate a business that is registered and in good standing with the Colorado Secretary of State
  • Produce, assemble, or source products in a manner consistent with at least Tier 1 of StateCrafted’s Verification System
  • Have the legal right to sell the products you list on the Platform
  • Not be under any legal prohibition from operating a business or entering into contracts

StateCrafted reserves the right to deny any application at its sole discretion and to re-evaluate Seller eligibility at any time. Providing false information in your application is grounds for immediate termination.

3.1 Application Process

Sellers must complete the StateCrafted seller application and submit all required verification documentation. StateCrafted aims to review applications and issue a decision within the following timeframes:

  • Tier 1 (Colorado-Owned): 24–48 hours
  • Tier 2 (Colorado-Made): 48–72 hours
  • Tier 3 (Colorado-Sourced): 72–96 hours

These timeframes are targets, not guarantees. Application volume, incomplete documentation, or verification complexity may result in longer processing times.

3.2 Onboarding

Upon approval, Sellers will receive a welcome email with onboarding instructions. StateCrafted will schedule an onboarding call within 3–5 business days of approval. The goal of onboarding is to have your first product listed and your Storefront active within 7 days of approval.

3.3 Incomplete Applications

If your application is missing required documentation, StateCrafted will notify you via email and mark your application as Pending. You will have 14 days to provide the requested information. Applications that remain incomplete after 14 days may be closed, and you will need to reapply.

4.1 Subscription Tiers

Sellers access the Platform through a paid subscription. Current plans are as follows:

4.2 Founding Maker Program

The first 100 Sellers approved on the Platform are eligible for Founding Maker status. Founding Maker benefits include:

  • A free first month — no subscription fee is charged until 31 days after the date of account approval
  • Lifetime locked pricing at the Founding rates listed above — locked for life and will never increase, as long as the account remains active and in good standing
  • Is tied to the individual Seller account and is non-transferable
  • Includes a “Founding Maker” badge on the Storefront
  • Includes priority placement in launch marketing, quarterly feedback sessions with the Founder, and first access to new platform features
  • Is permanently forfeited upon cancellation of the Seller account and cannot be reinstated

4.3 Annual Subscriptions

Sellers who pay annually receive a 20% discount on their plan rate. Annual subscriptions are paid in full upfront. Sellers will be notified 30 days before their annual renewal date. Annual fees are non-refundable except as provided in Section 4.6.

4.4 Billing and Payment

Subscription fees are charged automatically to the payment method on file via Stripe on the Seller’s monthly or annual billing date. It is the Seller’s responsibility to keep their payment method current. If a payment fails, StateCrafted will attempt to recharge within 3 business days and will notify the Seller by email. Accounts with unresolved payment failures will be suspended after 7 days.

For Founding Makers, the first billing date is 31 days after the date of account approval. No subscription fee will be charged during the free first month period. A payment method is required on file at the time of account approval in order to activate Founding Maker status.

4.5 Price Changes

StateCrafted may adjust standard subscription pricing with 30 days’ written notice to affected Sellers. Founding Makers are exempt from any price increases for as long as their account remains active and in good standing.

4.6 Cancellation and Refunds

Sellers may cancel their subscription at any time. Upon cancellation:

  • The account and Storefront remain active through the end of the current billing period
  • No further charges are made after the cancellation date
  • Products and Storefront content are removed from the Platform at the end of the billing period
  • Founding Maker status is permanently forfeited and cannot be reinstated
  • If a Founding Maker cancels during their free first month, no subscription fee is charged; however, Founding Maker status is permanently forfeited upon cancellation regardless of timing

Monthly subscription fees are non-refundable. For annual subscriptions, a prorated refund of unused complete months will be issued if the Seller cancels within 30 days of a new annual term. After 30 days, annual fees are non-refundable. StateCrafted may issue discretionary refunds in cases of platform error.

5.1 Verification Tiers

StateCrafted offers three verification tiers. Sellers must achieve at minimum Tier 1 to sell on the Platform. Higher tiers confer greater trust signals, improved search placement, and eligibility for features such as Curated Collections and Homepage placement.

  • Tier 1 — Colorado-Owned (Bronze Badge): Requires a valid Colorado Secretary of State business registration (showing active status) or a current Colorado-issued government ID. Processing: 24–48 hours.
  • Tier 2 — Colorado-Made (Silver Badge): Requires active Tier 1 verification, workspace photos with a Colorado landmark or a utility bill showing a Colorado address (within 60 days), a written description of the production process, and sample product photos demonstrating craftsmanship. Processing: 48–72 hours.
  • Tier 3 — Colorado-Sourced (Gold Badge): Requires active Tier 2 verification, supplier invoices or receipts demonstrating that 51% or more of materials are sourced from Colorado-based suppliers, and a material sourcing breakdown calculation. Processing: 72–96 hours.

5.2 Seller Representations Regarding Verification

By submitting verification documentation, the Seller represents and warrants that:

  • All documents submitted are genuine, unaltered, and currently valid
  • The Seller is the authorized owner or representative of the business being verified
  • The Seller’s products meet the standards of the verification tier applied for
  • The Seller will notify StateCrafted within 14 days of any material change that affects their eligibility for any verification tier

Obligation: Submitting fraudulent, altered, or misrepresented verification documents constitutes a material breach of this Agreement and may result in immediate termination and referral to appropriate authorities.

5.3 Annual Re-Verification

All Sellers must complete re-verification annually. StateCrafted will send a re-verification notice 30 days before the anniversary date. Re-verification requires confirmation of existing documentation or submission of updated materials. Failure to complete re-verification within 14 days of the due date will result in suspension of the Seller’s verification badges and reduced search placement until re-verification is completed.

5.4 Spot Checks

StateCrafted conducts random spot checks on approximately 10% of verified Sellers each quarter. By entering into this Agreement, the Seller consents to these checks and agrees to cooperate with reasonable requests for additional or updated documentation within 7 business days of the request.

5.5 Badge Revocation

StateCrafted may revoke any or all of a Seller’s verification badges if:

  • Verification documents are found to be fraudulent, altered, or no longer valid
  • The Seller’s products or business practices no longer meet the applicable tier requirements
  • The Seller fails to complete annual re-verification by the deadline
  • StateCrafted receives credible and substantiated buyer complaints regarding product authenticity or Colorado origin

Except in cases of fraud or egregious misrepresentation, the Seller will be notified and given 14 days to provide corrective documentation before a badge is revoked. Badge revocation does not automatically terminate the subscription.

6.1 Product Eligibility

Products listed on the Platform must:

  • Be physical, tangible goods (digital-only products are not permitted)
  • Be made, assembled, or meaningfully modified by the Seller in Colorado, consistent with the Seller’s verification tier
  • Be accurately described with honest photos that genuinely represent the item
  • Include a clearly stated price, shipping estimate, and return policy
  • Comply with all applicable federal, Colorado state, and local laws and regulations
  • Not be subject to any third-party intellectual property infringement

6.2 Prohibited Products

The following are prohibited from listing on the Platform under any circumstances:

  • Products manufactured outside Colorado and misrepresented as locally made
  • Mass-produced imports not meaningfully created or modified by the Seller
  • Counterfeit, replica, or unauthorized goods
  • Products that are illegal under federal, Colorado state, or applicable local law
  • Hazardous materials or items requiring special licensing without proof of such licensing
  • Items that violate any third party’s intellectual property, privacy, or other rights

6.3 Listing Accuracy

Sellers are solely responsible for the accuracy of all product listings, including descriptions, photos, pricing, inventory levels, and shipping estimates. Listings must be updated promptly when information changes. Knowingly misrepresenting a product is a material breach of this Agreement.

7.1 Order Fulfillment

The Seller is solely responsible for fulfilling all orders placed through the Platform. The Seller agrees to:

  • Ship orders within 5 business days of receiving an order notification, unless a longer timeframe is clearly disclosed in the listing
  • Provide accurate shipment tracking information to the buyer through the Platform upon shipping
  • Package products appropriately to prevent damage in transit
  • Honor all stated return and refund policies
  • Communicate proactively with buyers regarding any fulfillment delays

Obligation: StateCrafted does not fulfill orders on behalf of Sellers. The Seller bears full responsibility for the production, quality, packaging, and delivery of every product sold through the Platform.

7.2 Customer Communication

Sellers must respond to buyer messages received through the Platform within 48 hours during business days. Sellers must also respond to support requests from StateCrafted within 48 hours. Consistently failing to respond is grounds for account suspension.

7.3 Returns and Refunds

Each Seller sets their own return and refund policy. However, all Seller return policies must meet the following minimum platform standards:

  • The return policy must be clearly stated on the Seller’s Storefront before purchase
  • Sellers must offer a full refund or replacement for items that arrive materially not as described
  • Sellers must offer a full refund or replacement for items that arrive damaged
  • Sellers must honor their stated return policy without dispute

Sellers are encouraged to offer a 14–30 day return window for unused items, though this is not required beyond the minimum standards above.

7.4 Buyer Data Handling

When an order is placed, the Seller receives the buyer’s name, shipping address, email address, and order details solely for the purpose of fulfilling that order. The Seller agrees to:

  • Use buyer personal information only to fulfill the specific order for which it was provided
  • Not add buyers to mailing lists or contact them for marketing purposes without their explicit consent
  • Not sell, share, or otherwise disclose buyer information to any third party
  • Handle all buyer personal data in accordance with applicable privacy laws, including the Colorado Privacy Act
  • Delete buyer personal information when it is no longer needed for order fulfillment and record-keeping

Obligation: Misuse of buyer personal data is a material breach of this Agreement and may result in immediate account termination.

7.5 Taxes

The Seller is solely responsible for determining, collecting, and remitting all applicable taxes on their sales, including Colorado state sales tax and any applicable local taxes. StateCrafted does not collect or remit sales tax on behalf of Sellers. The Seller agrees to comply with all applicable tax laws and to maintain records sufficient to support their tax obligations.

7.6 Compliance with LawsThe Seller agrees to comply with all applicable federal, Colorado state, and local laws and regulations in connection with their use of the Platform and the sale of their products, including but not limited to consumer protection laws, product safety regulations, and licensing requirements.

StateCrafted monitors Seller performance to maintain platform quality. The following minimum standards apply:

StateCrafted will provide written notice before taking action based on performance metrics, except in cases of serious or repeated violations. Sellers will be given a reasonable opportunity to improve performance before suspension or termination is imposed.

The Seller agrees not to engage in any of the following conduct on or in connection with the Platform:

  • Listing, selling, or representing products that do not meet the Seller’s verified tier requirements
  • Submitting false, altered, or fabricated verification documents
  • Creating multiple accounts to circumvent a suspension or for any other purpose
  • Contacting buyers outside the Platform for commercial purposes without their explicit consent
  • Manipulating, incentivizing, or fabricating reviews or ratings
  • Engaging in pricing practices intended to deceive or mislead buyers
  • Using the Platform to violate any applicable law or the rights of any third party
  • Interfering with the operation of the Platform or other users’ use of the Platform
  • Reverse-engineering, scraping, or copying any part of the Platform without written permission

Engaging in prohibited conduct may result in immediate suspension or termination of the Seller’s account, at StateCrafted’s sole discretion, without refund.

10.1 No Transaction Fees

StateCrafted charges no commissions or transaction fees on sales. The Seller retains 100% of their sale proceeds minus standard Stripe payment processing fees (currently 2.9% + $0.30 per transaction). Stripe’s fees are subject to Stripe’s own pricing and may change without notice from StateCrafted.

10.2 Payout Process

Buyer payments are processed by Stripe and disbursed to Sellers according to Stripe’s standard payout schedule. Sellers must maintain a valid and active Stripe account in order to receive payouts. StateCrafted is not responsible for payout delays caused by Stripe’s processing timelines, bank processing times, or the Seller’s failure to maintain a valid payout account.

10.3 Held Payments

StateCrafted reserves the right to place a temporary hold on a Seller’s payouts if there is a credible complaint of fraud, a significant buyer dispute, a chargeback, or a potential violation of this Agreement. StateCrafted will notify the Seller of any hold and will aim to resolve the situation within 10 business days.

10.4 Corporate Gifting Participation

Beginning in Month 3 of platform operations (estimated August 2026), StateCrafted may select verified Sellers to participate in its corporate gifting program, in which StateCrafted curates and fulfills gift boxes for business clients using Seller products. Participation is subject to a separate participation agreement and is at StateCrafted’s sole discretion. Selected Sellers will be compensated at the product’s listed price or a mutually agreed wholesale rate.

11.1 Seller Content License

The Seller retains all ownership rights in their Seller Content (product photos, descriptions, branding, etc.). By submitting Seller Content to the Platform, the Seller grants StateCrafted a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute the Seller Content on the Platform and in StateCrafted marketing materials for as long as the content remains on the Platform.

11.2 Seller Representations Regarding Content

The Seller represents and warrants that:

  • All Seller Content is original or the Seller holds the rights necessary to grant the license above
  • Seller Content does not infringe any third party’s copyright, trademark, trade secret, or other intellectual property rights
  • Seller Content does not violate any applicable law or these Terms

11.3 StateCrafted Intellectual Property

The StateCrafted name, logo, verification badges, and all Platform content created by StateCrafted are the intellectual property of StateCrafted LLC. The Seller may not use StateCrafted’s name, logo, or badges outside the Platform without prior written permission, except that Sellers may identify themselves as “a verified StateCrafted maker” in their own marketing materials.

The Seller represents, warrants, and covenants to StateCrafted that:

  • The Seller has full legal authority to enter into and perform this Agreement
  • All information provided to StateCrafted, including verification documents and product listings, is accurate and not misleading
  • The Seller’s products are genuine, legally produced, and meet all applicable safety and quality standards
  • The Seller holds all licenses, permits, and registrations required to sell their products in Colorado
  • The Seller’s use of the Platform will not infringe the rights of any third party or violate any applicable law
  • The Seller will maintain compliance with this Agreement on an ongoing basis

The Seller agrees to indemnify, defend, and hold harmless StateCrafted LLC, its officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • The Seller’s products, including any claim of defect, injury, or non-compliance with law
  • The Seller’s use of the Platform or breach of this Agreement
  • Any false or misleading Seller Content
  • The Seller’s violation of any third-party rights, including intellectual property rights
  • The Seller’s failure to collect or remit applicable taxes
  • Any buyer dispute arising from a transaction with the Seller

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STATECRAFTED’S TOTAL LIABILITY TO THE SELLER UNDER OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY THE SELLER IN THE THREE MONTHS PRECEDING THE CLAIM.

STATECRAFTED IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF STATECRAFTED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. STATECRAFTED IS NOT RESPONSIBLE FOR PLATFORM DOWNTIME, DATA LOSS, BUYER DISPUTES, SHIPPING CARRIER FAILURES, OR ANY EVENT OUTSIDE ITS REASONABLE CONTROL.

15.1 Term

This Agreement begins on the date the Seller’s account is approved and continues on a month-to-month or annual basis in accordance with the Seller’s subscription plan, until terminated by either party as provided below.

15.2 Termination by Seller

The Seller may terminate this Agreement at any time by canceling their subscription as described in Section 4.6. Termination takes effect at the end of the current billing period.

15.3 Termination by StateCrafted

StateCrafted may terminate or suspend this Agreement and the Seller’s account for the following reasons:

  • Material breach of this Agreement, including submission of fraudulent verification documents
  • Repeated or egregious violations of listing standards or performance requirements
  • Non-payment of subscription fees after 7 days’ notice
  • Conduct that StateCrafted determines is harmful to the Platform, buyers, or the Colorado maker community
  • Legal or regulatory requirement

For non-urgent violations, StateCrafted will provide 14 days’ written notice and an opportunity to remedy the breach before termination. For serious violations (fraud, data misuse, legal violations), StateCrafted may terminate immediately without notice or refund.

15.4 Effect of Termination

Upon termination:

  • All product listings will be removed from the Platform
  • The Seller must fulfill all outstanding orders or arrange for cancellation and buyer refunds
  • Founding Maker status is permanently forfeited
  • The Seller’s license to use the Platform ceases immediately
  • Sections 7.4 (Buyer Data), 11 (Intellectual Property), 12 (Representations), 13 (Indemnification), 14 (Limitation of Liability), and 16 (Governing Law) survive termination

The Seller is an independent contractor and not an employee, agent, partner, or joint venturer of StateCrafted. Nothing in this Agreement creates any employment relationship. The Seller is solely responsible for their own taxes, insurance, workers’ compensation, and benefits. The Seller has no authority to bind StateCrafted to any obligation or agreement.

17.1 Governing Law

This Agreement is governed by the laws of the State of Colorado, without regard to conflict of law principles. Any legal action arising under this Agreement shall be brought exclusively in the state or federal courts located in Denver, Colorado, and both parties consent to such jurisdiction.

17.2 Informal Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute informally by contacting hello@statecrafted.co with a written description of the issue. StateCrafted will respond within 10 business days. This informal process is a prerequisite to any formal proceeding.

17.3 Binding Arbitration

Disputes that cannot be resolved informally will be submitted to binding arbitration in Denver, Colorado, under the rules of a recognized arbitration body. Each party waives any right to a jury trial and agrees that arbitration proceedings will be conducted on an individual basis only — no class or consolidated actions.

18.1 Amendments

StateCrafted may update this Agreement from time to time. Sellers will be notified by email at least 14 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Agreement.

18.2 Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior agreements and understandings.

18.3 Severability

If any provision of this Agreement is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.

18.4 Waiver

StateCrafted’s failure to enforce any provision of this Agreement does not constitute a waiver of its right to enforce that provision in the future.

18.5 Assignment

The Seller may not assign this Agreement or any rights hereunder without StateCrafted’s prior written consent. StateCrafted may assign this Agreement in connection with a merger, acquisition, or sale of assets.

By signing below or by electronically accepting this Agreement through the StateCrafted platform, the Seller acknowledges that they have read, understood, and agree to be bound by the terms of this Seller Agreement, the StateCrafted Terms of Service, and the Privacy Policy.
